We believe that most good ideas are not just discovered from one moment to the next, but rather they are developed through an evolutionary process.
Through the years, we have evolved into a full-service consulting firm, providing services in many different areas, with one feature that sets us apart: we work exclusively with publicly held companies.
Our unique beginning traces back to 1987, when we owned a company that we decided to bring public as self-underwriting. After the time consuming and very costly experience, we realized that there were many other companies who could benefit from what we have learned. We began to assist private companies in their process of becoming public and since that time we have taken hundreds of companies public through the Reverse Merger process. This continues to be a part of our services today.
On any project that we handle for a client, from the simple to the very complex, we observe the client's overall objectives and then gather input from each of our four areas of expertise:
LEGAL - REGULATORY COMPLIANCE
ACCOUNTING CONSULTING
STRATEGIC PLANNING
FINANCIAL PUBLIC RELATIONS
One of the first things we do when a new client retains us is to conduct a lengthy Q&A session. One of the first things we do when a new client retains us is to conduct a lengthy Q&A session. From this meeting we gauge not only where the company stands at present, but more importantly where the company is headed. For a company to derive the most benefit from being public, it must have clearly defined long-term objectives. Be it an acquisition, raising capital or simply increasing the visibility of its stock, a company cannot look at each of these as separate events, but rather each one being a piece of their overall objectives. Because timing and public perception is of such importance to public companies, we assist our clients in carefully orchestrating specific events to complement and coincide with their long-term goals. We assist our clients in all areas of strategic planning as it relates to the company being publicly held, including: structuring and completing mergers and acquisitions, raising capital through the public market, gaining market support through brokers and market makers, and creative financing.
We are also proud of our in-house capabilities when it comes to research. We have access to all National and International News Services, major financial data bases, and hundreds of other on-line data sources which allow us to assist our clients with various research needs.

There are numerous ways that a privately held company can become public and have its stock traded on the stock market. The usual way is through an IPO (Initial Public Offering) which is both expensive and time consuming.
An alternative method, which can turn your privately held company public within days, is to merge it with an existing small publicly traded company, commonly referred to as a "shell company" - without any assets or liabilities. By merging your existing company into it, you will thus gain controlling interest in the publicly traded company.
By being a publicly held company, it opens the door for raising money and make acquisitions, utilizing your company's stock as currency.
